Ownership of Site; Agreement to Terms of Use

These Terms and Conditions of Use (the “Terms of Use”) apply to the Gymboree Lines web site located at www.gymboree-lines.com and www.gymboreelines.com  (collectively, the “Site”). The Site is the property of Gymboree-Lines.com (“Gymboree Lines”). BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

  INTELLECTUAL PROPERTY

All text, graphics, historical information, photographs, trademarks, logos, (collectively, “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel” and arrangement of such Content, contained on the Site is owned, controlled or licensed by Gymboree-Lines.com, and is protected by copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including “mirroring”) to any other computer, server, Web site or other medium for publication or distribution or for any use without Gymboree Lines’s express prior written consent.

 The information and features included in this Web Site have been compiled from a variety of sources, are for informational and entertainment purposes only, and are subject to change at any time without notice. As a user of this Site, you agree not to use the Content for any unlawful purposes and not to appropriate in any way any of the Content or any intellectual property owned or controlled by Gymboree Lines. You also agree not to violate in any way Gymboree Lines intellectual property rights or the rights of others, including, without authorization: creating any derivative works based on the Site, the Content, the Intellectual Property and/or any portion thereof, distributing the Content; or making copies of the Content  available to others (including via electronic mail, the Internet or otherwise); modifying; publishing; transmitting; reusing; reposting; transferring; selling; performing; in any way.

  REGISTRATION OBLIGATIONS

In consideration of your use of the the Site, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete subscriber information and  (b) maintain and promptly update your name and email address to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Gymboree Lines has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Gymboree Lines has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

MEMBER ACCOUNT, PASSWORD AND SECURITY

You will receive a password and account designation upon completion of the Subscription process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to immediately notify Gymboree Lines of any unauthorized use of your password or any other breach of security.

 PAYMENT

Payment for your subscription is due Gymboree Lines. Member Accounts are in default if payment is not received within 10 days of its due date (the date of your initial subscription). Accounts in default may be suspended. Such termination does not relieve You from paying past due and ongoing charges. Reactivation of account will incur an additional setup fee. If You default, You agree to pay Gymboree Lines reasonable expenses, including reasonable attorney and processing fees, incurred in enforcing its rights under this Term of Use or any other Gymboree Lines policy or agreement. Prepaid accounts are not refundable for any reason if terminated early.

INDEMNITY

You agree to indemnify and hold Gymboree Lines, affiliates, officers, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.

NO RESALE OF SERVICE

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including your login information.), use of the Service, or access to the Service.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GYMBOREE LINES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

GYMBOREE LINES MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SITE WILL BE CORRECTED.
